Milan had already guaranteed their place in the next phase at the top of the group and Deportivo took advantage to come from behind to earn a 2-1 win thanks to goals from Diego Tristan and Roy Makaay.
Lens still had a chance to go through should Depor slip-up, but a stubborn Bayern Munich side held them in a thrilling 3-3 draw in Munich.
Danish striker Jon Dahl Tomasson gave Milan the lead at Guiseppe Meazza just after the half hour when he headed in Kakha Kaladze's cross.
The Spaniards knew they had to get a result though and Diego Tristan got them on level terms in the 58th minute before Dutch striker Roy Makaay put them through with his effort in the 70th minute.
Lens travelled to Munich to play Bayern, who only had pride to play for, but the Germans were in no mood to be rolled over without a fight.
Niko Kovac fired the Bundesliga leaders into the lead in the 6th minute before Hasan Salihamidzic doubled their lead, thanks to some poor goalkeeping from Guillaume Warmuz who deflected the cross into his own net.
Thorsten Fink returned the favour just a minute later when he put through his own net from John Utaka's cross.
Dagui Bakiri levelled the scores in the 54th minute when he got on the end of Utaka's storming run down the left to make it 2-2.
Markus Feulner put Bayern into the lead just four minutes from time and effectively ruin any chances Lens had of qualification, although Jocelyn Blanchard ensured that the French side did not lose the game with his last minute equaliser.
The results see Milan and Deportivo take their places in the next phase of the Champions League, while Lens move into the Uefa Cup and a disappointing Bayern side crash out of Europe altogether.
