The bid, which was undisclosed from an unnamed club, was considered insufficient by the Second Division outfit.
The former Mansfield Town and Aston Villa hit-man is currently in his second spell with the Blundell Park club and is the club's leading scorer.
The 27-year-old has a clause in his contract that allows him to speak to other clubs, should The Mariners receive an offer worth more than £45,000.
Boulding was linked with a move to First Division side Gillingham but the Kent club have replaced the departed Paul Shaw with striker Patrick Agyemang from Wimbledon.
Midfielder Alan Pouton joined The Gills on loan earlier this month, with a view to a permanent move.
Meanwhile, Dutchman Marcel Cas has formally ended his time at Grimsby by signing a termination to the remaining 18 months of his contract at Blundell Park.
The former Notts County and Sheffield United man will return home to Holland and former club RBC Roosendaal after deciding to leave The Mariners for family reasons.
